Another member (of the board)…with a nice batch of shares (10,000+) just for turning up to a few meetings every year.

This is tragi-comically similar to those "how many shrinks does it take to change a bulb" jokes: how many engineers have to be RIF-ed to get that lush money to pay a new director of the board?
The emperor new clothes-as-a-service in the mighty Cloud...
@2iqh+1h4u71eA is spot on. Over the years the TDC Board has been apathetic and disengaged. Plus they lacked vision. To have JR and VL as chairmen? What a disaster. Combine them with CEOs who were not technical and had no vision combined with a part-time CTO who missed all major industry trends and you are left with the mess that is TDC. How could this company be over 40 years old and just have one core legacy product. Do you have just one stock in your portfolio? They were too cozy with the CEO and just rubber stamped AIP bonuses that were not tied to revenue growth. Lay off 10%, meet the OI target, and get a big bonus and a bunch of RSUs. No real corporate governance. No it is too late - the ship is taking on too much water. So freaking sad to see this once cool and relevant company go down the drain.
It’s not even one in, one out - just more of the same with free shares.
When are people going to wake up ?
The problem with Teradata has always been the Board of Directors. The board hired all the disastrous CEOs and approves the continual Sr Mgt turn style. With each management change they point the finger at prior mgt(s) - but then make even more damaging changes. Even when the Board brings in new directors they usually just bring in their cronies or retreads from Oracle, etc… def not strategic thinkers with relevant experience/perspective.
Hopefully, the Board of Directors will be replaced due to their continual malpractice.
