My uninformed guess...It must be an advantage for Carl. Period. Carl wants $40 and presumably sale(s).

Xerox has $3B debt. While this is mostly “good debt” because the debt was for equipment/lease for gear where customer must pay. A suitor may not want to or be able to digest this debt. A holdong company easily puts this finance over to the side on an separate island.....

This has everything to do with the sale of the company, and just means we are getting closer to the eventual announcement. HP purchasing Xerox is the most likely option. This most recent holding company alignment is not that uncommon. Remember when Google created a holding company called Alphabet, with all the business units falling under the Alphabet umbrella. This is what Xerox is doing. There are some tax advantages, etc, BUT, this is all about the sale. It all started at the beginning of the year when NAO (North America Org) became The Americas (including South and Central America) all reporting to Feldman. The DMO channel fell under Europe. Why? My guess, HP purchased Europes largest dealer/distributor last year (https://industryanalysts.com/8218_hp/). So, they are all set in Europe. Perhaps HP isn't interested in PARC, Europe, DMO, etc. So, Xerox is putting the packages together to sell off all the pieces. You heard it here first folks!

Sadly, I'm not shocked.

Financial news is never shared with employees first. It can't, as they have a responsibility to the shareholder first. But they should have issued something internally at the same time or shortly after.

There are legit reasons to do it, but it's hard to imagine it's anything but sinister based on the past year. See what Icahn did to TWA. Time is ticking for Xerox.

It could be a way to split up Xerox to a part that can be sold, and a part that is stuck with the poison pill with Fuji.
