Hock (or, more likely, one of his ghostwriters) just published this blog post - https://www.broadcom.com/blog/broadcom-and-vmware-investing-for-customer-value.

If you are reading this, regulators and analysts, please don't believe this garbage from Hock.

Hock promising NOT to raise prices, and maintain quality support for customers of ALL sizes, fundamentally goes against Hock's history as CEO of AVGO and the business model he is so proud of. It would be like believing Hi---r when he implied he had no desire to invade the rest of Europe shortly after he had invaded and annexed Czechoslovakia and Poland.

He only has 2 levers to pull to achieve his goal of 8.5 billion EBIDTA in 3 years

  1. Reduce costs - IE lay off most of the company (this would be a strong negative effect on 99% of VMware's customers.)
  2. Raise prices - When has he ever not done this?

It's vital to remember Hock is not a technologist but a CFO. What could he possibly do to VMware's core products (vSphere, NSX, Aria) to make them so much better that he could increase sales without squeezing customers? VMware is hemorrhaging its top talent daily; how will he find better vSphere engineers than the ones that are leaving? How will he increase the quality of support, after he cuts 50 - 70% of VMware's staff?

I'm sorry Hock none of this adds up, and I call BS. I hope regulators and customers are smart enough to see that too.

Which large customers pay full price anyway? He just needs to not give any discounts and he wins the game of wordplay.

Why he bothers is a mystery, does he really fear the EU regulators?

Certainly he doesn’t fear backlash from customers and partners, he has “been there done” that too many times. That is his BAU.

Agreed. Hock is playing politician right now. Anyone with half a brain should see through this.

Every company has to raise prices every now and then, for many good business reasons. So saying he will NEVER raise prices, is a commitment he should NEVER make. What he should be saying to truly calm fears, is commit to not price gouging customers, which is ultimately what everyone is worried about.

As folks have mentioned on the internal Slack channel and here, he's most likely being deceptive. He could easily stop offering deep discounts and unlimited ELA's to customers, which would result in significant increases for customers, and he could also just switch to subscription pricing and achieve the same effect.

One way or another, customers will see their VMware costs go up substantially. On top of that, they will see support go away. Only customers that spend millions will be given semi-decent support. This will encourage 99% of VMware's customers to go elsewhere.

The problem is, where else does a small customer go?

The cloud? Not everyone can do that due to compliance reasons, and even the ones that can are not always successful at it.

Nutanix? That's an option, but they might also be acquired by private equity.

Hyper-V, that's certainly a possibility, but will cost organizations significantly in migration costs.

All in all, none of this is good for customers, or societies in general, who still depend on core infrastructure for many critical services. I hope regulators ki-l the deal, and stop this type of business model.

I take these blog posts as a sign that Hock is getting worried the deal will not be approved, even though they are putting on a confident face for investors. It's basically an acknowledgment of his past, well-established harmful business practices, and the need to change perceptions. Reeks of desperation.
