BoD is all retired dopes, collecting easy money by just raising their hands to vote a few times a year. They will rubber stamp what CSuite wants and take the cash. This is all the same across Corporate America. Don’t hold your breath the sacking management.
Now, if you get an activist, it is a different story. Like the one that wenr after ATT. Those folks don’t joke around. They will crack the whip.
They should read this Board. Who knows, perhaps they are, at this moment.

The BOD doesn't care and seem to be OK with him. He's busy on IG congratulating one of the BOD members on some award. You know the pat on the back of I got you. They all seem to be friends and look the other way, I'll let you hang out on my yacht if you do mentality. If not the case, they would have fired him for the cr---y performance.
