To be fair - Stephen is an exemplary leader and he guided our organization seamlessly through sweeping organizational changes which improved profitability and efficiency. ROIC is better than it had been in decades.

Here are the pros and cons of the current CEO ouster situation:

PROS

  • Strategic transformation into focused pure-play US tower company
  • Reaffirmation of financial guidance and capital allocation policies
  • Planned sale of small cells and fiber solutions businesses proceeding as scheduled

CONS

  • Unexpected CEO termination creating leadership uncertainty
  • Extended transition period with interim CEO until permanent replacement found
  • Complex organizational restructuring through 2026

Crowns balance sheet is a hot mess.. 32B in assets & 32B in liabilities. The sale of fiber is just the beginning of the end of for Crown..

Follow-up..

His 2024 base salary was 900K, his annual RSUs were 12.3M (vested over 3 years), and 2.4M signing RSUs. His vesting date is April, not February like the rest of us. So, assuming the termination is effective immediately, he’s still getting a pretty good deal for doing nothing but roasting/freezing us out of the office and taking away our plants (did he do anything else in the past year?).

Check the filings:

“ In the event Mr. Moskowitz's employment is terminated by the Company without cause or Mr. Moskowitz resigns for good reason, in each case, not in connection with a change in control transaction, Mr. Moskowitz will be eligible to receive a severance payment equal to two times the sum of his base salary and Annual Bonus (as defined in the
Severance Agreement) and continued coverage under specified health and welfare benefit programs for two years.”

So “cause” is the question here, but likely, he’s still going to get the payout because there’s already enough of a stench around CC at the moment that they don’t want the media and shareholders sniffing around the board’s decisions. That severance also usually comes with a nice NDA agreement that neither party disparages the other.
