Humana updates policy on executive payouts after sale, merger of company

LOUISVILLE, Ky. (WDRB) -- Louisville-based Humana Inc. has updated its “change in control” policy entitling high-level executives to severance payments if they are demoted or laid off following a sale or merger of the company.

Humana disclosed the change in an SEC filing late on Wednesday, the eve of the Thanksgiving holiday.

Analysts continue to speculate about Humana being a takeover target nearly a year following the breakdown of its planned merger with rival Aetna.

No problem with company being sold or the rational behind mergers (must get bigger to compete/secure better networking deals with providers/etc.). However, do have a problem with executives rewarding themselves royally. What reward is there for the people who keep the engine moving? They move up and out; employees stay put and hope not to be retired early or put on out-placement due to restructuring.

Does anyone think this selfish greed other than me? People who don't produce are generally fired with 2 weeks salary ... but the millions of dollars that are going into structured settlements for high ranking leadership is astounding. Our industry is failing -- and this is part of the solution?

From an article. The talks between CVS and Aetna appear to be in part an attempt to fend off a move by Amazon into the drug-selling business — or at least to insulate the companies in case Amazon does invade. Signs are emerging that Amazon has designs on the pharmacy industry, with The St. Louis Post-Dispatch reporting on Thursday that Amazon had gained licenses in 12 states to become a wholesale prescription drug distributor.

Obviously Humana is getting ready to be sold ...just wonder to who? And will they layoff all of Humana at home prior to the sale or is there a chance a sale may help secure our jobs
