You are missing a few key points:

1) The CIC plan offers no change to the RSU contract. I actually have read all of my contracts from the last 3 years. It clearly states that RSU vesting is advanced under a change-in-control. Just because someone takes over a company doesn't mean they can ignore previous contracts, just like they have contractual obligations to customers, suppliers....they also have contractual obligations to the employees. They also can't ignore the golden parachutes for senior management either. Following your logic they could.

2) The CIC plan formalizes the tenure plan of two weeks per year of pay plus a fixed amount of either 8 weeks or 12 weeks. This is consistent with what AVGO gave the BRCM employees that were terminated previously. I doubt they will risk a class action suit to save 1-2% on the deal. Also, there will be a flood of the wrong people leaving If they don't honor this tenure plan. Remember, they want to choose who leaves...and they will pay a reasonable price for that control.

3) If Qualcomm was offering some kind of ridiculous package strictly as a poison pill it may not hold up to a legal challenge. However this package is reasonable and consistent with previous agreements and industry standards...and as stated it is for retention purposes during a period of uncertainty.

If you want to have a knee-jerk reaction go ahead, but this CIC package is a very reasonable one and it will happen if brcm succeeds. In am pretty sure they have already calculated the cost of downsizing and CIC packaged and it's not big enough to hurt the deal.

If the CIC plan had any value, then there would never be any hostile takeovers, as all companies could protect themselves with CIC poison pills. Sorry, it just doesn‘t work like this. It‘s purely a placebo to keep people from leaving.

There a bunch of morons on here. The change-in-control plan is a good thing. I like the way some idiots pretend like they understand all the legal details. I seriously doubt that Broadcomm can do whatever they want and ignore the CIC...the class action suit would be a major distraction....and on a a $130B deal this plan is maybe going to cost $2B. Going back to the infrastructure days is pointless...except that there was a class action lawsuit. When the QCP/Kyocera spinoff happened the company handled things very differently and treated the employees better. Let's hope brcm is unsuccessful, but at least the CIC offers something tangeable in a worst-case scenario. The CIC might actually be good for both QCOM and brcm so the lifeblood of the company doesn't drain out of their potential asset.

The severance plan has no value whatsoever. Broadcom can renege on it after the merger and kick everyone out with two week‘s notice and a lovely Broadcom cup and t-shirt as severance pay.

My CV went out to quite a few companies last week. Not gonna wait for Tan to Hock me up the a--.

Not a whole hell of a lot. In 2015, after 21 years, received 2 weeks for every year of service, my untaken vacation, 2 extra weeks of "sorry we're laying you off, and a $1000 stipend to put toward Cobra. I had 1 month to cash in any vested RSOs, and lost the rest. All told, $81k. After the federal government taxed me at 39% and the state taxed me their amount, my check was less than 1/2 of the amount. Talk about shock. Not saying that I wasn't happy that the package was generous, but it was shocking to receive so little. Good luck to those who remain. Qualcomm was a great company in its early days, but just remember this if you think you are really important....everyone is just a number.
