Shareholders have absolutely been withholding their submissions until approval.

Wouldn’t you? The tendering process takes a week or so if you change your mind and subsequently withdraw.

Why would a stockholder lose their agility when there is no tangible benefit?

NXPI is NOT worth their current valuation. It's inflated and artificial. QCOM should not pay above the offered price.

N stocks will jump tomorrow. Q will extend the tender one last time for 1-2 weeks because tomorrow the current tender offer expires. Time is too short to achieve 70% stocks because it's now around 5%.

The question is what will happen if N stocks exceeds Q's last offer of 127.5 in the coming days?

  • Q must sweeten the offer again

  • N stocks will be kept artificially below 127,5 so that Q doesn't need to sweeten the offer.

In both cases both companies will spend or lose a lot of money. They anyway lost at least 2 quarters of time window because of EU and China approvals. And we don't know yet what Q promised China for the deal.

Both companies will have 1-2 weeks of time for next earning call. Investors are hungry to see 1B$ saving promise immediately, at least by the end of the year.

More layoffs are coming !!!

I wonder if NXP shareholders have been withholding their tender offers to wait for regulatory approval...I don't see why they would, but maybe it will go forward now.
