On the fourth the ESL bid will be the only qualified bid. The game will end and the transformation will continue.

Basically put, it's when the qualifying offers by Lampert and the liquidation companies are deemed qualifying (ie they believe the winner is capable of paying on that auction for the items they're bidding on- that's why Fast Eddie needed backed financing to prove he has the liquidity to make such payments). They could still say nope, neither of you qualify, and if that happens, well, the entire company is toast as they'll be forced into Chapter 7 by the court. So, remember the fear and angst from the 28 when it looked like no one was bidding? That should be the same emotion on the 4th, because the bids still have to be deemed qualified.
