Should the Board clawback the bonuses paid to RS?

Morningstar is reporting that, “Any deal for the satellite TV service would be sizable, but likely a far cry from the $49 billion AT&T paid for it in 2015. The pay-TV unit has lost millions of subscribers in recent years as viewers switch to on-demand entertainment services like Netflix Inc. A deal could value the business below $20 billion, some of the people said.”

RS is an accountant without a Finance background. He does not know how to do basic ROI calculations that a 1st year MBA student can perform. I did those calculations in less that an hour to realize that we paid double the acceptable price for DTV and TW.

Yes, a leader needs to be able to do ROI calculations. The reason is that when the leader insists on a purchase his subordinates are too afraid to speak up for fear of losing their jobs.

No wonder RS made massive mistakes with the attempted acquisition of T-mobile, and the actual merger with DTV and TW.

Upvote this if you think the Board should clawback all the bonuses that were paid to RS in the years related to the (attempted) acquisition of T-Mobile, DirecTV and Time Warner.

Yes, in the very least Stephenson needs to be forced out of AT&T. He never understood that AT&T was fundamentally a network company. He never worked in the operations side of the business, thus he thought he could financially engineer earnings. Instead, he should have learned all he could from real engineers and rolled up his sleeves and gone to work. Yes, we lost POTS lines, but we replaced them with internet connections. The math to make money as a network company was fairly simple. But RS was not interested in the hard work of running a business. He added too much overhead, with too many accountants and proceeded to manage the business on spreadsheets. Quality diminished, the network was starved for capital, customers were treated poorly, all so he could chase after shiny new businesses. He has hurt shareholders, customers and employees. He will be judged. I retired in 2009 after 40 years, so I have some perspective.

The same culture responsible for allowing rs' purchases is still fully alive in all levels starting with the directors, more palpable with avps and up.
This place is ran by used car salesmen with no vision of technology trends. Any input from the ppl with technical background is put to the side and not taken seriously for any business related intents.....

Randall wanted to be transformative figure like Gates or Jobs. His wanted to build his ego on the world stage and use AT&T do it. His 1st mis step was the T-Mobile deal and the $4 billion loss. His 2nd was DTV over payment and failing to have a coherent strategy. U-Verse was continued instead of folding it into DTV. His 3rd mis step was his failure to recognize alternatives such as OTT and streaming. His 4th mis step was paying too much for TW. His 5th mistake was saddling the company with debt for two losing assets.

The Board of Directors did not put any restrictions on him and should be held accountable. Instead Randall will walk away with over $200-$300 million, and the BOD will become Stankey puppets to line his pocket. Eventually TW will be sold at a discount, the dividend will be cut and the stock price will plummet. Stankey will get out with $150 million and the BOD members will get a lifetime country club memberships and mult-million dollar buy outs!!

Of course Ratty deserves $1M quarterly plus his lucrative pension for his performance. NOT! But the Good Ole Boy on the Board of Misdirectors will do nothing to claw anything back. Probably Ratty's contract requires something illegal or a fraud to trigger a claw back. Unless some ambitious prosecutor can build a case of Ratty doing some accounting fraud, otherwise they won't touch Ratty.

Now if Ratty would chase a skirt, or betray his SJ BS, then he they will CANCEL him.

Otherwise, Ratty will be the first to be paid. But all grunt retirees will be burned when T goes bankrupt.
