I found the move to Deleware really weird, why the secrets. I've always found it weird when CEOs are the chairman and don't hold a controlling share in the company. Strong vote for an independent chairman from me.
Can't votes be tracked as to whether the shareholder voted yay/nay on items? Seems like they would be able to track that right back to you.
On the ballot is "Reincorporating from California to Delaware". This seems like new information...haven't heard anything internally or externally. Begs some questions: timeline, process, business drivers, impact from CA's tax tether, why the secrecy, pending merger/sale? It can't be easy to reincorporate a global company to another state.
I voted against all the Dirs, against Chuck, against Exec comp, and FOR an independent Chairman.
