IBM's Letter to Rometty details $20k PER DAY GUARANTEED for 36 Months

Dear Ginni,

Your retirement from IBM comes with much admiration and appreciation for your 39 years of distinguished service to IBM. This letter describes certain terms of your retirement from the Company on December 31, 2020 (“Retirement Date”).

As is the case with all retirees, any benefits payable to you in connection with your retirement will be paid or made available in accordance with the applicable terms of the employee benefit plans of the Company in which you participate. As with all employees and retirees, the Company maintains its right to amend, modify or terminate its benefit plans and programs at any time and from time to time or to change its interpretation of such benefit plans and programs.

  1. Consulting/or Related IBM Business Services.

After your Retirement Date and for a period of three years following your retirement date, the Company may request, from time to time, that you provide services to the Company, which services must be approved in advance by the Company’s Chief Executive Officer (“Services”). Following the initial three-year period, this consulting arrangement is subject to renewal annually thereafter with approval by the Company’s Chief Executive Officer. Any Services you provide will be as an independent contractor of the Company.

The following terms shall govern your Services:

• The fee for such Services would be $20,000 per day for each day on which you provide four or more hours of Services and $10,000 per day for each day that you provide less than four hours of Services;
• To help facilitate these Services, the Company will provide continued use of IBM office space and administrative assistant support;

• The Company shall reimburse you for any reasonable actual travel and other expenses incurred in connection with providing the Services, and you may, with the prior approval of the Chief Executive Officer, travel on Company aircraft in the course of providing the Services;
• The provision of Services by you shall not exceed 20% of the average level of services performed by you over the 36-month period immediately prior to your Retirement Date.
• Further, it is intended by the parties that this letter shall not further delay any payment to which you are entitled under an IBM employee benefit plan or agreement.

  1. Resolution of Disputes

Any dispute, claim or controversy you have arising out of the terms set forth in this letter shall be resolved by the Chief Executive Officer. If you disagree with the decision rendered by the Chief Executive Officer, then the Executive Committee of the Board shall make a final and binding decision with respect to such dispute, claim or controversy.

You position Project Mgt. process expertise at lower levels however typically those " zeros and One" types are not creative strategic thinkers. That why a "modern day John Thompson" in combination with an inspiring sales leader like Bill Etherington makes the most sense.

I am an IBM Canada alumnus so I am somewhat biased.

@5jog - ideally we can get the leadership who possess both savvy strategic thinker and process expert attributes. I don't think I'm asking much but the thing is if the leadership lacks the process/service expertise I can't see they can be strategic in that domain.

I have been gone for 10 years but I can’t recall Gini ever making plan in services? Did she ever make plan as the CEO?
I do remember that when she didn’t make plan she blamed sales.
IBM needs to bring in a tech savvy strategic leadership type. Not a process or services “expert”. Somebody like John Thompson with a Bill Etherington type to run sales.

The letter IS real. As Rometty is an officer in the company, former (soon to be) Chairwoman, this HAD to be disclosed in an SEC filing. Link below. What's interesting is that at the same time as this was posted to the SEC, they disclosed (again to the SEC), that Krishna was to be Chairman. They put a press release out for that also. For the Rometty deal...? Radio silence. I am sure they hoped no one would notice.

I’m sure it is legitimate as Sam P has a similar (actually better) agreement. I remember reading it online in regards to new process ibm had because of a former ibm exec that was ultimately indicted by the Feds

Some veteran ibmers probably know more or if you’re inclined to search for it online... bottom line it’s likely true... not to mention all kinds of FEC requirements

I agree we should be ashamed of IBM. Ginni found a way to game the system and good for her. But IBM is the one that fell for it. IBM has told the world that it is willing to pay a fortune to an incompetent CEO, which makes them stupid. But after she proves her incompetence by destroying the company, IBM decides AGAIN to reward her some more, and that's shameful. No one should be proud to work for a company so badly managed that its own execs heap praise on its murderer.

I don't know if we should be ashamed to be IBMers... or if we should be p*ssed of at the education we received, but public and collegiate... that never pointed out where the big money was... how big it was etc.

Don't know about you... but when I was in college... career books stated that the top paying jobs were "Investment Banker", "Doctor", "Lawyer" and "Airline Pilot"... with various engineering fields following those.

Had no idea what an Investment Banker was in those days... Only Airline Pilot appealed to me on a personal level... got lost on the way an ended up in Info Tech...

But surely... the huge bonuses that dwarf the salary of folks on Wall Street obtain... was absolutely never mentioned anywhere.

I blame the education machine... it turns out worker bees... not folks knowledgeable enough to know where the big rewards are that would free one for life, as early as possible... we were all basically sold down the river, so to speak.

Interestingly enough, no matter what you think of Ginni... she did figure all of that out and get to the "Big Time"... And she didn't come from a family background where her parents could have pointed that out.

I went to Law School in my mid 30's... what I noticed was... many of the young folks that were there... and new how to beat the Law School game... had parents that had already done it... the came in knowing the ropes ahead of time... often had studied the cases before they had even set foot on campus...

That is to say... they were clued in by the adults around them in advance. Something working class kids often don't get. In fact, working class adults often give of "anti-success" messages and give their kids the entirely wrong ideas about upward mobility. (A long discussion, in and of itself.)

Being a CEO must be easy work... I couldn't reasonably and effectively hold down 2 or more instances of my job... yet CEOs seem to be on 2, 3, 4, a dozen boards at once...

Factor in the payscale, and it's even more painful to think about how much of a failure my life's decisions have been, LOL!
