Berkshire Hathaway Takes a 2.5% holding in CVX

So today, with the diligent analysis by the business press, it was disclosed that Berkshire Hathaway has at 12-31-2020 accumulated 2.5% holding in CVX shares (discovered in a SEC filing).

Inquiring minds want to speculate:

  1. Did someone know that XOM and CVX had preliminary discussions in late 2020 about combining the 2 companies ?
  1. CVX management chose not to discuss/disclose this position taken by Berkshire Hathaway. Does management have a fiduciary responsibility to disclose a material holding like this ?
  1. Does CVX insider stock transactions rules bar CVX management, who were aware of Berkshire's non-public stock holding in CVX, from exercising any sales of CVX shares until this information is public ?

Looks like "Uncle Warren" has made serious bank on his investment ($29/share in 2 plus months! )

I guess he wasn't just interested in the dividend. Go figure :)

Chevron stock at $400, $1000 per share? Even in good times it was well known on Wall St. that Chevron couldn't break through the $125/share glass ceiling.

Simple answer, though some of your heads will explode reading this, "battery technology." Yes, batteries like the kind put into electric vehicles. Some think that Chevron stock will hit $400.00 a share within two years. I think their estimates are low. No responses forthcoming to the invariable queries.

Here are the scenarios:
1) he sees a quick price appreciation (one year timeline) - I believe this is the case
2) one foot in OXY, one foot in CVX = one company
3) activist to move the business to non-hydrocarbon - a first mover

Biffet knows that CVX will be reducing drilling and exploration and selling reserves for awhile. The reduction in spending while selling off reserves will make CVX look highly profitable for awhile.

When Biffet bought CVX stocks, the price was depressed and the dividend was guaranteed, so most likely he will get a 7 to 8% yield with also potential of stock rise, so he just wins in any environment not Chevron!

SEC only requires public disclosure when party acquires 5% or more of the stock of a publicly traded company.

Having stated that SEC rule— I'd guess that a 40 million share purchase by a single company should attract CVX's attention when it happened

The only way CVX management would know who is buying CVX stock is if the purchaser told them. I imagine they found out by reading the news like everyone else. Buffett thinks the stock is a bargain and will rise, but he is not really known for his forecasting in the energy arena. Oil prices could rise
and CVX profits with them but the stock price could continue to languish because it is out of favor with investors due to perceptions.

He owns a good stake in Oxy as well, and Oxy owes him 10 billion dollars. Maybe he is looking to combine the two and pay himself off the 10 billion.
