Whats the incentive if I succeed?

No way he will get that $40M without the company having to pay far more than that to defend his tenure. This guy has been nothing but a fraud who has cost the shareholders many multiples of his $40M. My guess is that he will get a fraction of that and bow out without a problem. I mean right now the House of Representatives is looking at Facebook/Meta, Google, and Verizon for squelching speech and information prior to the 2020 elections.
There is none, he is waiting for his $40 million check so he can go play on his yacht and jog around the country, all he is good at.
