And the reason for DE is that it is the least restrictive state regarding corp governance regulations.
its important to understand the difference between legal entities, official hq and administrative reality
wells and co is a delaware legal entity
wells fargo bank is a south dakota legal entity
this is distinct from the official hq which is sf but of course nobody is there anymore (historic 12thflr 420 montgomery full of cobwebs)
the true headquarters with execs making decisions is hudson yards
