Thread regarding Baker Hughes Inc. layoffs

Merger vs Acquisition

Halliburton correctly describes the buy out of Baker Hughes as acquisition whereas Baker Hughes tried to make it more palatable describing being bought out as a merger. Check here for what the difference is. "Whether a purchase is considered a merger or an acquisition really depends on whether the purchase is friendly or hostile and how it is announced. In other words, the real difference lies in how the purchase is communicated to and received by the target company's board of directors, employees and shareholders.", see as well http://www.diffen.com/difference/Acquisition_vs_Merger

The first post was spot on. The take over was almost certainly part of BHI's long term plan. The clue is in the fact that incompetents were appointed to the BHI leadership team..

Old news, when it was first announced by bhi it wasn't said to be a merge, it clearly said itwas a buy out forced by Halliburton..

So funny. When BHI and BJ MERGED BHI employees always called it an acquisition that's the way they treated it and the employees. There was never any best of the best. BHI managers were moved into pressure pumping roles know nothing about the business and simply destroying the product line.

Fast forward 5 years and BHI is to be acquired by HAL and BHI managers were at first trying to spin it as a merger...they are now getting more comfortable with the fact it is an acquisition!

Maybe had there been an open mind and a willingness to learn we wouldn't be in this boat!

There is no doubt that BHI was sold out to Halliburton. And everyone on the BHI Board of Directors will make one heck of a profit. This is no merger. The real workers gain nothing.
