*03/23/2009 Rating was downgraded to Ba2

*07/18/2011 Rating was downgraded to Ba3

*12/05/2011 Rating was downgraded to B1

*01/04/2012 Rating was downgraded to B3

*01/10/2014 Rating was downgraded to Caa1

*01/20/2017 Rating was downgraded to Caa2

*11/17/2017 Rating was downgraded to Caa3

What is interesting is that Sears Holdings Corporation has pretty much been in junk-bond status since almost the very beginning of the merged companies existence!!

A bond is considered investment grade or IG if its credit rating is BBB- or higher by Standard & Poor's or Baa3 or higher by Moody's. Generally they are bonds that are judged by the rating agency as likely enough to meet payment obligations that banks are allowed to invest in them.
