Why are insiders ( officers and board of directors ) prohibited from buying or selling Chesapeake Energy Stock ?

I don't think they are outright prohibited. Depends on the nature of each sale & award. Also there is risk that if they buy a ton before a public announcement of some sort, they could get in trouble for insider trading. See Martha Stewart.
