They complain that Hock's offer is so low and undervalued when here they are bidding 10 dollars under current NXP share??????????

15 months later NXP deal still not cleared. Dangle a massive buyback in lieu of getting across the finish line. Good stuff

Easy, because they don't have an accepted offer. They have to increase. The difference in situations is plain, simple, and easily consumed by even a simpleton.

NXP is an accepted offer by their board. Until regulatory approval, there is no benefit to increasing the offer until the first tender after approval is under-subscribed. Basic stuff right here.
