Thread regarding Sears layoffs

Prime Clerk Docket 1730.

Sorry everyone but I got lost and somewhat confused while trying to reading docket 1730 regarding future employment and employment offers. Could someone be kind enough to enlighten me regarding these issues? Thank you very much.

Ace did but but there is no clear cut answer as to whether that deal will go through at the moment. This provides the option for ESL to receive a cash payment if it doesn’t probably to assume the operations of it. Presumably the sale would close at the same time this one does.

Only real difference is theirs was a stalking horse bid for it, ESL tried that, was shot down and is doing a 363 type of credit bit when it hit auction phase with the only two qualified bidders being ESL and the liquidation company.

I see very little reason this won’t go through. Most likely any claims from unsecured creditors will likely be taken up in lawsuits later down the road unless Eddie pays settlements, in terms of this type of sale there isn’t much they can do other than object, but the secured creditors hold precedent and will want the higher offer.

You no longer work for SHLD when this goes through, everything is purchased by Transform Holdco you then work for Transform Holdco. (ESL/Eddie’s created acquiring entity). It’s mostly just legal talk. I’m sure they might take the option to can some higher ups. Anything down the line will probably be unaffected.

Only th8ng I see is it seems the SHIP (sears home improvement) is up in the air due to Ace’s offer, if they don’t buy it it goes to Transform Holdco, if it does the new company gets a cash payment.
