I believe it also means they haven't met their financial requirements in the previous 12 months:
Form S-3 is typically filed in conjunction with a common stock or preferred stock offering. Other requirements for the form's use are that the company has met all dividend and debt requirements in the 12 months prior to the filing date on the form.
I'm not an expert in this area, but once the NT 10-K is filed, could the IPO securities be sold?
One of the "businesses" they were trying to incorporate with the S-3.

in short, paperwork that allows a company to be listed on the stock exchange. apparently, EDMC has a number of subsidiaries that they had hoped to list with the hopes of expansion. i guess expansion is no longer on the table.
